1. ACCEPTANCE OF TERMS
By accessing or using the services provided by Kairos L.L.C-FZ (“Company”, “we”, “us”, or “our”), you (“Client”, “you”, or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use our services.
2. DESCRIPTION OF SERVICES
Kairos L.L.C-FZ provides comprehensive project management services including but not limited to:
• Project planning and strategy development
• Resource allocation and management
• Timeline and milestone tracking
• Risk assessment and mitigation
• Stakeholder communication and coordination
• Quality assurance and control
• Budget management and cost optimization
• Project delivery and closure support
3. CLIENT RESPONSIBILITIES
Clients agree to:
• Provide accurate and complete information necessary for project execution
• Respond to communications in a timely manner
• Make decisions and approvals within agreed timeframes
• Provide access to necessary resources and stakeholders
• Pay all fees according to the agreed payment schedule
4. PAYMENT TERMS
Payment terms will be specified in individual project agreements or contracts. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur additional charges as specified in the project agreement. All fees are non-refundable unless otherwise stated in writing.
5. INTELLECTUAL PROPERTY
All methodologies, processes, and proprietary tools used by Kairos L.L.C-FZ remain our intellectual property. Deliverables created specifically for the Client will be transferred to the Client upon full payment, unless otherwise agreed. Both parties retain ownership of their respective pre-existing intellectual property.
6. CONFIDENTIALITY
We maintain strict confidentiality regarding all Client information and project details. We will not disclose confidential information to third parties without prior written consent, except as required by law or with proper legal authorization.
7. LIMITATION OF LIABILITY
IMPORTANT: Our total liability for any claims arising from our services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.
8. FORCE MAJEURE
Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or other unforeseeable circumstances.
9. TERMINATION
Either party may terminate services with 30 days written notice. In case of material breach, termination may be immediate after written notice and failure to cure within 15 days. Upon termination, Client shall pay for all services rendered up to the termination date.
10. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be resolved through the courts of Dubai, UAE, or through mutually agreed arbitration.
11. PRIVACY AND DATA PROTECTION
We are committed to protecting your privacy and handling data in accordance with applicable UAE data protection laws. We collect and use information only as necessary to provide our services and maintain our business relationship.
12. MODIFICATIONS
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website or notification to Clients. Continued use of our services constitutes acceptance of modified Terms.
13. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
